Terms of Service.

1. ACCEPTANCE OF TERMS

By accessing Holodeck at holodeck.darkgray.ai, by creating an account, or by submitting a question for forecasting, you accept and agree to be bound by these Terms of Service, the Privacy Policy, and the Forecasting Disclaimer. If you are using Holodeck on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. ACCOUNTS

You may use Holodeck anonymously within our free daily quota, or create an account using a verified email address, Google, or Microsoft. Each account is for a single human user. Sharing accounts, creating duplicate accounts to circumvent quota or pricing, or automated creation of accounts is prohibited and may result in suspension or termination.

You are responsible for activity on your account, including any charges incurred. You agree to provide accurate information when creating an account and to keep your contact email current.

3. ACCEPTABLE USE

You agree not to:

• Use the service in violation of any law or to facilitate any illegal activity
• Submit questions that contain another person’s sensitive personal information (e.g., social security numbers, financial accounts, medical records), defamatory content, or content intended to harass an identifiable individual
• Attempt to reverse-engineer, scrape, or systematically extract outputs in bulk for the purpose of training competing models or building a derivative dataset for resale
• Use the service to generate signal for high-frequency automated trading or any other system that places real-money orders without independent human review
• Probe the service for security vulnerabilities, attempt to bypass rate limits or quota enforcement, or interfere with other users’ access
• Attempt to extract our system prompts, archetype configurations, or other proprietary engine internals through prompt injection or similar techniques

4. FORECASTS ARE NOT ADVICE

Holodeck produces probabilistic forecasts. They are not investment, legal, tax, medical, or other professional advice. They are not a personalized recommendation. We are not your fiduciary. See the Forecasting Disclaimer for the full statement, which is incorporated into these terms by reference.

You agree not to rely on a Holodeck forecast as the sole basis for any material decision and to consult a qualified professional for any investment, legal, tax, medical, or business advice you require.

5. PREDICTION MARKETS, TRADING, AND WAGERING

Trading carve-out. Holodeck is not designed for use as a trading signal or wagering signal. If you use a Holodeck forecast to place a position on a prediction market (including but not limited to Kalshi or Polymarket), a futures or options contract, a sports book, or any other wagering or trading venue, you do so entirely at your own risk and on your own judgment. You agree that:

• You will not hold DarkGray liable for any loss, including direct, indirect, consequential, or special damages, arising from any trade, bet, or position you place
• You are solely responsible for understanding the legality and rules of any market or venue you participate in
• Comparison of Holodeck forecasts to prediction-market prices on the audit page is for calibration reference only and is not a recommendation to trade

6. INTELLECTUAL PROPERTY

DarkGray owns the Holodeck engine, archetype library, system prompts, ranking and aggregation logic, and all related proprietary technology. These terms do not transfer any of that to you.

You retain ownership of the questions you submit. By submitting a question, you grant DarkGray a worldwide, non-exclusive, royalty-free license to use that question and the resulting forecast for operating the service, for internal research and calibration improvement, and for inclusion in our publicly-published audit and track record (in aggregate or with personally identifying information redacted).

You may share an individual Holodeck forecast or audit page link publicly, with attribution to Holodeck and a link back to the source page. You may not represent a Holodeck forecast as your own proprietary analysis.

7. PRIVACY AND DATA RETENTION

We collect and use information about you as described in our Privacy Policy. You may delete your account at any time from the account page or by emailing nix@graycapitalllc.com. After deletion, identifying information is removed within 30 days. Anonymous, aggregate calibration data derived from your forecasts may be retained for audit and research purposes consistent with our published methodology.

For accounts with no sign-in activity for 24 months, we will archive the account and notify you at your registered email; if we receive no response, we may delete the account after a further 90 days.

8. PAID PLANS

When paid subscription plans are made available, they will be billed in advance on a recurring basis through Stripe or another payment processor we identify. Subscriptions auto-renew unless cancelled before the renewal date. You may cancel at any time through your account or your payment-processor billing portal; cancellation stops future billing and ends paid features at the end of the current period. Refunds are at our discretion and generally not provided for partial periods. We may change pricing with reasonable notice; existing committed terms will be honored through their term.

9. SUSPENSION AND TERMINATION

We may suspend or terminate your account at any time if we reasonably believe you have violated these terms, posed a risk to the service or other users, or engaged in activity that exposes DarkGray to legal or financial risk. We will make a reasonable effort to notify you and explain the reason, except where prohibited by law or where doing so would compromise an investigation.

You may terminate your account at any time. Sections that by their nature should survive termination — including disclaimer, indemnification, limitation of liability, intellectual property, dispute resolution, and governing law — will survive.

10. DISCLAIMER OF WARRANTIES

HOLODECK IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORECASTS WILL BE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECT WILL BE CORRECTED. YOUR USE OF HOLODECK IS AT YOUR SOLE RISK.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DARKGRAY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO HOLODECK SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DARKGRAY FOR ACCESS TO HOLODECK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT WILL DARKGRAY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSSES ARISING FROM RELIANCE ON ANY FORECAST, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless DarkGray, its officers, directors, employees, contractors, and affiliates from any claim, demand, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising out of (a) your use of Holodeck, (b) your violation of these terms, (c) your violation of any law or the rights of a third party, or (d) your reliance on a Holodeck forecast for any trading, betting, investment, or business decision.

DarkGray will indemnify you against any third-party claim alleging that the Holodeck service itself, as provided by us, infringes that third party’s intellectual property rights, subject to your prompt notice and our control of the defense. This is the only indemnification obligation DarkGray has to you.

13. DISPUTE RESOLUTION — ARBITRATION AND CLASS WAIVER

Any dispute, claim, or controversy arising out of or relating to these terms or your use of Holodeck shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in Indianapolis, Indiana, or, at your election, by phone or video conference.

YOU AND DARKGRAY EACH AGREE TO BRING ANY DISPUTE ONLY IN AN INDIVIDUAL CAPACITY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. If a court determines that the class-action waiver is unenforceable, then this entire arbitration provision shall be unenforceable, but the remainder of these terms will continue in full effect.

Small claims carve-out. Either party may bring an individual action in small claims court instead of arbitration if the dispute qualifies under the rules of that court.

Opt-out. You may opt out of this arbitration agreement by emailing nix@graycapitalllc.com within 30 days of first accepting these terms with the subject “Arbitration opt-out” and including your account email.

14. GOVERNING LAW

These terms are governed by the laws of the State of Indiana, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, the state and federal courts located in Marion County, Indiana shall have exclusive jurisdiction, and you consent to that jurisdiction and venue.

15. CHANGES TO THESE TERMS

We may update these terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, if you have an account, notify you by email or in-product notice. Continued use of Holodeck after the effective date of a change constitutes your acceptance of the updated terms. If you do not agree to the change, please stop using the service and, if you wish, delete your account.

16. MISCELLANEOUS

These terms, together with the Privacy Policy and the Forecasting Disclaimer, constitute the entire agreement between you and DarkGray with respect to Holodeck and supersede any prior agreement on the subject. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign these terms; we may assign them to an affiliate or acquirer of the business.
